1. Definitions
"Service" — the public website at nuadu.com, including the live AI demos, the blog and related pages.
"AI Demo Features" — the interactive demonstrations at /demo/content-scanner, /demo/writing-grading, /demo/speaking-grading and /demo/pronunciation that use AI models to generate feedback on content you submit.
"User" — any individual using the Service.
"Institutional Client" — an educational institution, certification body, enterprise or partner that contracts with NUADU for the assessment platform under a separate agreement.
"Personal Data" — as defined in Art. 4(1) GDPR; see the Privacy Policy.
"AI Output" — any text, score, feedback or assessment generated by the AI Demo Features.
2. Service Description
NUADU provides an assessment platform on which exams are authored, delivered, conducted, marked, reported and certified. The public Service consists of:
- information about the platform, its paths and its trust and compliance posture;
- AI Demo Features, unlocked by an email address and Cloudflare Turnstile verification;
- a contact form for arranging a diagnostic conversation;
- a blog.
Access to the assessment platform itself is governed by the Institutional Client's agreement and is outside these Terms. NUADU is not a national certification body and does not issue state-recognised certificates.
3. Demo Access
3.1. To run an AI Demo Feature you provide a valid email address (and, optionally, your name) and pass Cloudflare Turnstile verification. This registers you as a demo user for the current browser session.
3.2. You must provide accurate information. NUADU may withdraw demo access for inaccurate data or misuse.
3.3. Providing an email for demo access does not oblige you to receive marketing. Marketing consent is separate and optional; see the Privacy Policy, Section 2.
3.4. Usage limits. To keep the demos available and protect them from abuse, NUADU limits the number of requests per network connection: currently three AI demo requests per ten minutes and ten per day across all demos, with separate limits for speech sessions, the demo gate and the contact form. When a limit is reached, the demo shows how long to wait and a link to contact NUADU. NUADU may change these limits.
4. AI Demo Features — Scope and Limitations
4.1. Intended use. The AI Demo Features are for demonstration and evaluation only. They are not to be used as a basis for academic grading, employment decisions or any decision with legal or similarly significant effect.
4.2. No accuracy guarantee. AI Outputs are generated by machine-learning models and may contain errors, inaccuracies, biases or fabricated content. NUADU does not warrant their accuracy, completeness or fitness for any purpose.
4.3. Human oversight. In institutional deployments a named educator or approver reviews, may override and signs every AI-assisted result before it has any consequence. This is a material term of every Institutional Agreement.
4.4. AI disclosure (EU AI Act Art. 50). AI Outputs are produced by artificial intelligence, not by a human evaluator. See the AI Transparency Notice for the models, data flows and limitations.
4.5. Classification. AI systems used to evaluate learning outcomes are listed in Annex III, point 3(b) of the EU AI Act. The AI Demo Features are demonstration tools and produce no outputs used for grading or progression. In institutional deployments the respective obligations of NUADU (provider) and the Institutional Client (deployer) are allocated in the Institutional Agreement; see the AI Transparency Notice, Section 5.
4.6. Data handling. Content you submit (text, images of documents, audio) is processed by Microsoft Azure AI services in the EU (Sweden Central) and is not stored by NUADU after the result is returned. Microsoft may keep it temporarily, as described in the Privacy Policy, Section 6; Microsoft's processor terms govern that retention.
5. Acceptable Use
You must not:
- submit content that exploits, harms or endangers minors (absolute prohibition);
- attempt to manipulate the models, extract system prompts or model weights, or circumvent safety filters or abuse monitoring;
- use automated tools (bots, scrapers) to access the AI Demo Features beyond what Turnstile permits;
- redistribute AI Outputs as if they were human-made assessments;
- use AI Outputs for high-stakes decisions without human review;
- submit content that infringes third-party rights or is unlawful.
NUADU may suspend access for violations without prior notice.
6. Intellectual Property
6.1. The Service — its design, software, prompts, content and trade marks, excluding your content and AI Outputs — belongs to NUADU or its licensors. ALIGN® and the names of third-party exam programmes mentioned on the Service belong to their respective owners and are not NUADU products.
6.2. You retain all rights in the content you submit. You grant NUADU a limited, non-exclusive licence to transmit it to Microsoft Azure solely to produce the requested AI Output; the licence ends when processing is complete.
6.3. AI Outputs are provided for your own evaluation. NUADU claims no ownership of them and makes no representation about third-party rights in AI-generated content.
7. Limitation of Liability
7.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUADU'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE FREE SERVICE SHALL NOT EXCEED EUR 100.
7.2. NUADU is not liable for (a) decisions taken on the basis of AI Outputs; (b) inaccuracies in AI-generated content; (c) loss of content that was never stored; (d) interruptions caused by force majeure, third-party service failures or maintenance.
7.3. Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under applicable law, including mandatory EU consumer protection law.
8. Indemnification
You indemnify NUADU against claims arising from content you submit that is unlawful, infringes third-party rights or constitutes wilful misconduct, and from use of AI Outputs in breach of these Terms.
9. Data Protection
NUADU processes Personal Data as described in the Privacy Policy. For Institutional Clients, processing is governed by a Data Processing Agreement (Art. 28 GDPR) in which NUADU is processor and the institution is controller; the sub-processor list and data residency options are published at nuadu.com/trust.
10. FERPA (US Institutions)
Where NUADU processes education records under an Institutional Agreement with a US institution, NUADU acts as a "School Official" under 34 CFR 99.31(a)(1): it performs an institutional function, acts under the institution's direct control regarding the records, uses personally identifiable information only for authorised purposes, and does not redisclose records except to authorised sub-processors named in the agreement.
11. Minors
The Service is not directed at individuals under 16. Where Institutional Clients deploy NUADU for users under 16, the institution obtains the required parental or guardian consent.
12. Termination
12.1. You may stop using the Service at any time. To have your demo registration or enquiry deleted, write to privacy@nuadu.com; NUADU acts within one month (Art. 12(3) GDPR).
12.2. NUADU may suspend or end access for breach of these Terms, with or without notice.
12.3. Sections 6, 7, 8 and 14 survive termination.
13. Modifications
NUADU may amend these Terms by publishing a new version at nuadu.com/terms. Registered demo users are informed by email of material changes, which take effect 30 days after publication. Continued use after that date is acceptance; if you do not accept, stop using the Service.
14. Governing Law and Disputes
14.1. These Terms are governed by the laws of the Republic of Singapore. Mandatory consumer-protection rules of the User's country of residence are not affected.
14.2. Disputes are resolved by the competent courts of Singapore, subject to mandatory consumer jurisdiction rules, including Regulation (EU) 1215/2012 for EU consumers.
